BY-LAWS

 

ARTICLE I - NAME

The name of the organization shall be the OAK RUN PHOTOGRAPHY CLUB.

ARTICLE II- PURPOSE

To help Club members at varying levels of expertise/experience improve their photographic skills and enhance their enjoyment of photography.

ARTICLE III - MEMBERSHIP

Oak Run residents interested in photography may join the Club. Annual dues, determined on a year-to-year basis, are payable by check at the first meeting of the year, in September.

ARTICLE IV - OFFICERS

General:

  • Club officers shall consist of a President, a Vice President, a Treasurer, and a Secretary.
 

Duties:

 
  • The President will run the Club’s everyday operations, conduct the business of the regular meetings, and appoint standard/ad hoc committees as needed.
  • The Vice President will assist the President in the Club’s everyday operations, assist in appointing committees, and serve as President in the President’s absence.
  • The Club Treasurer shall collect, manage, periodically report on, and disperse all funds derived from club dues, 60-40 drawings, and other sources. The Treasurer will place the funds, with the exception of petty cash, into a club account opened at a local bank. The names of three club officers, namely the President, the Vice President and the Treasurer, shall be on the account. Any of the three may disperse funds.
  • The Secretary shall record and periodically report on proceedings at both membership meetings and Board meetings. A record of those meeings shall also be posted on the Club’s website. In addition, the Secretary shall record attendance at Club meetings and maintain a roster of Club members including addresses, telephone numbers, and e-mail addresses. Finally, the Secretary shall, on a monthly basis, e-mail Club members (or call those who do not have e-mail) announcing the month’s activities.
 

Vacancies:

 
  • If, for any reason, the President must step down before the end of his/her term, the Vice President shall assume his/her duties for the remainder of the term.
  • If, for any reason, any of the other officers must step down from their positions prior to the end of their term, the President shall appoint replacement officers for the remainder of the term.
 

Elections:

 
  • A nominating committee will be appointed in March or April to begin the process of finding volunteers to replace Club officers for the following year.
  • Elections shall be held in June, with the current President calling for nominations from the floor for each office. A simple majority vote will determine winners. 
 

Term of Office:

 
  • The term of each office shall be one year. However, any officer may serve additional terms if it is so desired by the membership.
 

ARTICLE V - MEETINGS

Club meetings will be held monthly at 7:00PM, with the exception of December, July and August. December is reserved for holiday travel, as well as the annual Holiday Party. July and August are reserved for summer travel and are used by newly-elected officers, in conjunction with various ad hoc committees, to organize and prepare for the subsequent year's activities and programs. Members will be notified well in advance of the dates and venues of the monthly meetings.

ARTICLE VI- AMENDMENTS

Amendments to these by-laws may be made at any meeting by a simple majority vote of members present. A tie vote will require further discussion and a new vote shall follow.

ARTICLE VII- AD HOC COMMITTEES

The President shall seek volunteers for at least four (4) ad hoc committees: Program, Field Trip, Publicity and ORHA Photo Support.

Under the guidance of the President and Vice President, committee responsibilities shall be administered as follows:

    • Program Committee: Will seek out, and arrange for, speakers/presentations for the monthly meetings.
    • Field Trip Committee: Will search for suitable field trip locations, and arrange for trips to the selected locations.
    • Publicity Committee: Will prepare and submit items/articles about upcoming Club events and field trips to the Oak Run monthly newsletter, Oak Run Channel 12, and the “The Citizen” newspaper. In addition, the Club secretary will occasionally provide additional information to the Club members via e-mails and, for members with no computer, by telephone.
    • ORHA Photo Support Committee: Shall provide ORHA with photos of Oak Run events and activities for a variety of on-site and off-site publications, e.g., the Orchid Club Bulletin Board, the Oak Run Newsletter, the “Ocala Star-Banner,” “The Citizen,” et al.
 

ARTICLE VIII – BOARD OF DIRECTORS

I     Composition:

                    The Board of Directors shall be composed of:

    • The President who shall act as Board chairperson
    • The Vice President
    • The Treasurer
    • The Secretary
    • Chairperson of the Program Committee
    • Chairperson of the Field Trip Committee
    • Chairperson of the Publicity Committee
    • Chairperson of the ORHA Photo Support Committee
    • The Previous Year’s Club President
    • One to two Members-At-Large
 

II     Duties:

                  The duties of the Board of Directors shall be as follows:

 
    • To provide guidance to Club officers and ad hoc committees in the every day administration of the Club;
    • To coordinate existing Club activities and events, as well as newly proposed activities and events, in an effort to ensure that all parties move in an orderly and unified manner; and
    • To approve, disapprove, and/or sponsor special activities outside the purview of the ad hoc commnittees.
 

III   Elections and Selections:

As outlined in ARTICLE IV (Officers) of the by-laws, Club officers shall be elected annually by the membership at the end of the Club year, i.e., at the last meeting in June. Under ARTICLE VII (Ad Hoc Committees), ad hoc committees shall be created on an “as needed” basis by the Club President. Committee chairpersons are usually selected by committee members once the various committees have been created. The one or two Members-At-Large, like Club officers, shall be nominated and elected at the end of the Club year. If, for any reason, one or both Members-At-Large decide to step down prior to the completion of his/her term, replacement(s) may be appointed by the current Board of Directors.

 

IV   Board Meetings:

          Board meetings shall be convened “as needed” at the discretion of the Club

President.A quorum, consisting of a majority of Board members, must be present at each meeting.

 

ORPC – STANDING RULES

 

These Standing Rules may be amended at any time

by a vote of a majority of the Board of Directors.

  1. Meetings shall be held on the second Monday of the month beginning at 7:00 p.m. in the Orchid Club main auditorium.
  2. Annual dues shall be $10 for each individual member, $8 if joining after January.  Dues shall be collected at the first meeting in September.
  3. Prospective members shall be allowed to attend one (1) meeting and one (1) field trip during the year, but will be required to join the Club and pay dues thereafter.
  4. Only paid members shall be allowed to attend field trips (noting the exception in Standing Rule #3) and the annual Christmas luncheon, with the exception of an accompanying spouse/partner.
  5. The Program Committee shall be responsible for a program each month, September through June, including December being a Christmas-themed social function and June being the annual business session and year-end competition.
